1. Introduction
These Terms & Conditions (βTermsβ) apply to all services offered by Sysivo (βwe,β βour,β or βusβ). By engaging with our services, making payments, or participating in any onboarding process, the client (βyouβ or βyourβ) agrees to these Terms.
2. Scope of Services
Sysivo provides digital solutions including but not limited to:
π Website design & development
π AI chatbot integration
π SEO and local marketing
π Paid advertising & social media management
Project deliverables, pricing, and timelines will always be outlined in a signed proposal or agreement specific to your project.
2. How We Use Your Information
Website Projects
π Refund During Design Phase: You may request a refund only before approving the final website design.
π No Refunds After Development Starts: Once the design is approved and development begins, all payments become non-refundable.
SEO, Ads, & Marketing Services
π Marketing-related services are non-refundable once the billing cycle has started.
π To cancel, written notice must be given at least 30 days before the next billing cycle.
π Campaigns will remain active until the end of the current cycle. Partial refunds for unused time are not provided.
Exceptions
In rare cases, Sysivo may grant a refund at our sole discretion.
Enforcement & Cease and Desist
To ensure projects run smoothly, you agree to:
π Provide requested content, materials, and approvals within 7 business days.
π Maintain regular communication during the project.
π Avoid unnecessary delays or lack of response.
Failure to participate for more than 14 consecutive days may void any satisfaction guarantees, and you remain responsible for all fees due.
5. Changes & Extra Work
Only tasks listed in your signed proposal are included in the agreed fee.
Additional revisions, new features, or scope changes will be treated as extra work and billed at $30/hour (or as otherwise agreed in writing).
6. Payment Terms
π A deposit (as outlined in your invoice) is required before work begins.
π Payment schedules and milestones will be detailed in your agreement.
π Late invoices may incur a 1.5% monthly fee (or the maximum allowed by law).
π If invoices remain unpaid beyond 30 days, Sysivo reserves the right to pause work. Unpaid accounts over 60 days may be sent to collections, with all related fees payable by the client.
π Monthly hosting and maintenance fees (if applicable) will be automatically billed once your website is live.
7. Revisions
π Projects include up to 3 rounds of revisions, unless otherwise stated.
π Additional revisions are billed separately.
π Revision rounds must be completed before final approval.
8. Termination of Services
Either party may terminate the project in writing.
π Refunds will follow the policies in Section 3.
π Work completed up to the termination date must be paid in full.
π Projects abandoned by the client are non-refundable.
9. Ownership of Deliverables
π Final deliverables transfer to you once full payment has been received.
π Until payment is complete, all designs, code, and creative assets remain the property of Sysivo.
10. Limitation of Liability
Sysivo is not liable for:
π Delays caused by client inaction or late responses
π Loss of profits, business disruptions, or indirect damages
π Results impacted by incomplete, inaccurate, or delayed client input
11. Governing Law
These Terms are governed by the laws of South Africa (or applicable jurisdiction depending on your region). Any disputes will first be addressed through good-faith mediation. If unresolved, disputes will be handled through arbitration in the governing jurisdiction.
12. Acceptance of Terms
By making payment, signing a proposal, or using Sysivoβs services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
